Proofpoint, a Thoma Bravo portfolio company, has signed a definitive agreement to acquire Varonis in an all-cash transaction valued at approximately $6.3 billion, the two companies announced on October 15.
Varonis shareholders will receive $49.75 per share. The announcement puts that at a 52% premium to the $32.71 closing price on June 22, 2026, the last full trading day before initial rumors of a sale, and a 17% premium to the $42.35 close on September 1. The release values Varonis at about 8.4x trailing revenue and 53x trailing free cash flow. The Varonis board approved the deal unanimously. Closing is expected in the first half of 2027, subject to Varonis shareholder approval and regulatory approvals. Thoma Bravo is providing committed equity financing and has secured debt financing commitments, and Ontario Teachers’ Pension Plan has agreed to invest in Proofpoint. Until closing, the two companies operate separately.
Both companies frame the deal around AI. Proofpoint CEO Sumit Dhawan said “AI agents are increasingly accessing sensitive information and taking action across systems,” and the release says the combined company intends to offer one platform for finding and protecting sensitive data, controlling what people and AI can access, and stopping data loss. The companies say the combination would serve more than 16,000 enterprises.
Varonis will report third-quarter results on November 3 and will not hold an earnings call.
In our reading, the release points toward one combined platform sale after closing. Teams that buy email security, data classification and permissions tooling from separate vendors have until the first half of 2027 to compare overlap and renewal dates. The deal follows IonQ’s agreement to acquire Elisity, and it lands as teams ask how to limit what AI agents can reach, a question taken up in our piece on why a scope prompt is no agent control.
